These Terms of Service ("Terms") govern your use of the Life-TipChamp website and services. By accessing our website or using our services, you agree to be bound by these Terms.

Life-TipChamp is a company registered in England and Wales, providing uninterruptible power supply (UPS) solutions throughout the United Kingdom.

Life-TipChamp provides the following services:

4. Service Agreements

4.1 Quotations and Proposals

All quotations and proposals are valid for 30 days unless otherwise specified. Prices are subject to change based on technical requirements, site conditions, and equipment availability.

4.2 Acceptance of Orders

Orders are subject to our acceptance. We reserve the right to refuse service or cancel orders at our discretion. Acceptance occurs when we issue a written confirmation or commence service delivery.

4.3 Service Delivery

We will use reasonable endeavours to meet agreed delivery dates. Time is not of the essence unless expressly agreed in writing. We are not liable for delays caused by circumstances beyond our reasonable control.

5. Payment Terms

5.1 Payment Schedule

  • Installation projects: 50% deposit upon order confirmation, 50% upon completion
  • Maintenance contracts: Annual payment in advance
  • Emergency callouts: Payment within 30 days of invoice
  • Equipment supply: Payment upon delivery

5.2 Late Payment

Interest may be charged on overdue amounts at 8% per annum above the Bank of England base rate. We reserve the right to suspend services for non-payment.

6. Warranties and Guarantees

6.1 Installation Warranty

We warrant our installation work for 12 months from completion. This warranty covers defects in workmanship but excludes normal wear and tear, misuse, or damage caused by third parties.

6.2 Equipment Warranty

UPS equipment is covered by manufacturer warranties. We will assist with warranty claims but are not responsible for manufacturer warranty terms or limitations.

6.3 Service Warranty

Maintenance and repair services are warranted for 90 days. Replaced parts carry manufacturer warranties or 12 months, whichever is longer.

7. Customer Obligations

Customers must:

  • Provide accurate technical specifications and site information
  • Ensure safe and reasonable access to installation sites
  • Comply with health and safety requirements
  • Obtain necessary permits and approvals
  • Provide adequate power supply and environmental conditions
  • Follow manufacturer and our operational guidelines
  • Notify us immediately of any system malfunctions

8. Limitation of Liability

8.1 General Limitations

Our liability is limited to the value of the specific service or equipment that gave rise to the claim. We exclude liability for:

  • Indirect, consequential, or special damages
  • Loss of profits, revenue, or business opportunities
  • Data loss or corruption
  • Business interruption costs
  • Third-party claims

8.2 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, government actions, or supplier failures.

9. Health and Safety

All work is conducted in accordance with UK health and safety regulations. Customers must:

  • Provide safe working conditions
  • Disclose known hazards or risks
  • Comply with site safety requirements
  • Ensure adequate insurance coverage

10. Intellectual Property

All designs, specifications, and proprietary information remain our property. Customers may not reproduce, modify, or distribute our intellectual property without written permission.

11. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and UK data protection laws. By using our services, you consent to our data processing practices as described in our Privacy Policy.

12. Termination

12.1 Termination Rights

Either party may terminate ongoing service agreements with 30 days' written notice. We may terminate immediately for:

  • Non-payment of invoices
  • Breach of these Terms
  • Unsafe working conditions
  • Customer insolvency

12.2 Effects of Termination

Upon termination, customers remain liable for all outstanding payments. We will return customer property but may retain work product and intellectual property.

13. Maintenance Contracts

13.1 Service Levels

Maintenance contracts include:

  • Regular preventive maintenance visits
  • Priority emergency response
  • Remote monitoring (where applicable)
  • Technical support and advice
  • System performance reporting

13.2 Response Times

  • Critical emergencies: 4 hours
  • Standard callouts: Next business day
  • Routine maintenance: Scheduled in advance

14. Dispute Resolution

We encourage early resolution of disputes through direct communication. If disputes cannot be resolved informally:

  • Disputes under £10,000 may be referred to small claims court
  • Larger disputes will be resolved through arbitration
  • English law governs these Terms
  • English courts have exclusive jurisdiction

15. Website Terms

15.1 Website Use

You may use our website for lawful purposes only. Prohibited activities include:

  • Unauthorised access to systems or data
  • Distribution of malware or harmful code
  • Interference with website operation
  • Infringement of intellectual property rights

15.2 Content Accuracy

We strive to maintain accurate website content but do not warrant completeness or accuracy. Technical specifications are subject to manufacturer changes.

16. Environmental Compliance

17. Insurance

We maintain appropriate professional indemnity and public liability insurance. Certificate of insurance available upon request. Customers are responsible for their own insurance coverage including business interruption and equipment insurance.

18. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of modified Terms.

19. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
